1. About Ordermate

Ordermate ("we", "us", "our") is a WhatsApp commerce platform operated by Parker Technologies that enables businesses ("Merchants") to automate orders, payments, and customer service through WhatsApp. These Terms govern your use of the Ordermate platform, website, and related services.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into binding agreements on behalf of your business to use Ordermate. By creating an account, you confirm this eligibility.

3. Account Registration

• You must provide accurate and complete information when creating your account.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorised access to your account.
• One account per business. You may not create multiple accounts to circumvent any restrictions.

4. Pricing & Fees

Ordermate operates on a transaction-based pricing model. There are no monthly subscriptions or upfront fees.

• Standard fee: 2% per order processed through the platform.
• Mobile Money fee: 3% per order paid via MTN MoMo, Vodafone Cash, or AirtelTigo.
• Fees are automatically deducted at the time of each transaction.
• We reserve the right to modify our fee structure with 30 days' prior notice.

5. Payments & Payouts

Payments are processed via Paystack and applicable Mobile Money providers. Funds are settled to your designated bank account or Mobile Money wallet subject to the payout schedules of our payment processors. Ordermate is not liable for delays caused by payment processors or financial institutions.

6. Merchant Responsibilities

As a Merchant using Ordermate, you agree to:

• Accurately represent your products, prices, and availability on the platform.
• Fulfil all orders placed through your Ordermate shop promptly and as described.
• Comply with all applicable laws, including consumer protection and food safety regulations.
• Not use the platform for illegal, fraudulent, or deceptive activities.
• Handle customer data in accordance with applicable privacy laws.
• Maintain a valid WhatsApp Business account linked to your Ordermate shop.

7. Prohibited Uses

You may not use Ordermate to sell:

• Illegal goods or substances.
• Counterfeit, stolen, or fraudulently obtained products.
• Items that violate intellectual property rights.
• Anything that is harmful, offensive, or violates applicable law.

8. Intellectual Property

Ordermate and its underlying technology remain the intellectual property of Parker Technologies. Your business data, products, and customer information remain yours. You grant us a limited licence to process this data solely to provide the service.

9. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability. We will provide reasonable notice for planned downtime.

10. Termination

You may stop using Ordermate at any time. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or cause harm to other users or the platform. Your data will be available for export for 30 days following termination.

11. Limitation of Liability

Ordermate is provided "as is". To the maximum extent permitted by law, Parker Technologies shall not be liable for indirect, incidental, or consequential damages arising from your use of the platform. Our total liability shall not exceed the fees paid by you in the 3 months preceding any claim.

12. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any disputes shall be resolved in the courts of Accra, Ghana.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you via email or in-app notification. Continued use of Ordermate after changes constitutes acceptance of the updated Terms.
